Seeking a reliable and proactive commercial counsel with a minimum of five years’ experience and training in a reputable construction law practice or a reputable construction company in-house legal department. This role will be heavily involved in the entire contract lifecycle and in supporting and furthering the objectives of the Legal Department of a rapidly growing company.  This role would be ideal for someone looking for an opportunity to work in an entrepreneurial high growth company and bring in substantive construction law experience.  Primary responsibilities will be to support the Legal Department on a growing volume of construction related and commercial contracts and transactions review and drafting, related diligence, and the required record keeping and administration. An ideal candidate is reliable, trustworthy, independent but receptive to direction, organized, professional, responsible, self-motivated, driven, with strong work ethic, ability to work under pressure, and possesses great communication skills.

Duties and Responsibilities:

  • Reviewing, redlining, and negotiating a broad range of construction documents and transactions including but not limited to development agreements, land acquisition, subdivision, zoning, easements, rights of entry, rights of way, leases, licenses, co-location, public way rights
  • Reviewing and redlining/drafting of a wide range of commercial contracts, corporate entity documents and filings
  • Strong drafting skills, attention to detail, proactive attitude
  • Research state and municipal construction standards and requirements
  • Experience handling or assisting outside counsel in handling construction vendor disputes and insurance claims
  • Administer risk management and insurance and liaise with counterparts and insurance brokers
  • Comfortable to independently support business professionals and to lead commercial negotiations
  • Support the Legal Department in ongoing real estate and other commercial matters as well as ad-hoc legal situations
  • Legal research of state statutes/codes, municipal law, case law
  • NDAs and other legal documents review and drafting
  • Review and drafting of policies and procedures
  • Participates in internal and external calls and meetings
  • Ongoing due diligence to assist with internal and external compliance and projects
  • Coordinate and assist with management of outside counsel and relationships with various external parties – vendors, customers, partners, etc.
  • Develop strong understanding of the business and productive working relationships with business stakeholders and commercial counterparties
  • Legal Memoranda and other legal documents preparation and drafting
  • Creating and maintaining corporate and contract records/registry
  • Willingness to do the necessary work to accomplish management’s objectives

Qualifications & Desired Skills:

  • Bachelor’s Degree and a JD from accredited universities with strong academic performance
  • Engineering degree preferred
  • Active member in good standing of the California State Bar (preferred) or another State bar
  • Strong and broad experience in reviewing and redlining/drafting broad range of construction documents and transactions including but not limited to development agreements, construction contracts, design and build contracts, professional services contracts
  • Experience in construction specific risk management, bonding and insurance, ESG, and labor issues
  • Experience in handling construction contractors’ disputes
  • Experience in reviewing and redlining/drafting commercial contracts
  • Experience and desire to perform due diligence and record keeping
  • Strong verbal, written, communication and interpersonal skills
  • Strong work ethic, trustworthy and reliable team player who is also able to work independently
  • Ability to think critically and analytically
  • At least 5+ years of relevant legal experience developed, including foundational legal review and drafting training, in a reputable real estate and commercial law transactional practice
  • Five years in-house experience in a high real estate contracts volume high pressure environment (preferred industry experience in telecommunications, construction, utilities, or technology)
  • Corporate and commercial transactions experience desirable
  • Finance experience would be a plus
  • Advanced experience with Microsoft Office and SharePoint
